Description needs quite a bit of work, there doesn't seem to be any logic behind most of the stat mods, and like they said, it's overpowered.  
 
On a general grammar note, Don't Capitalize Every Single Word In A Sentence.

In what sense? A base damage of 23 will get you hitting 50-60s. The increase in 2 dex will increase your chances of hitting by 7-10%. That is pretty much the same damage per round of a hally or maybe less. Only thing thats being added which can be considered powerful is the vampiric factor of .2 which will get a max of 45-50 HP back per full stamina round. I see this point as an incentive to use this weapon. Now why magical? I personally consider all vampiric, stat modifing weapon/equip magical.
 
If you still think its overpowered, you might consider decreasing the base damage by 1 or 2 and make it always hit 50 damage per round less then a hally. But then why would anyone want it at lvl 27?
